1.Who these terms are between

These terms are an agreement between ClinicDesq (“we”, “us”) and the person or business that creates a partner account (“you”, “the Partner”). They take effect when you tick the acceptance box and create your account, and they continue until either side ends them under clause 12.

You are an independent party. Nothing here creates employment, agency, partnership in the legal sense, or a joint venture. You bear your own costs and pay your own taxes.

3.Becoming a partner

• Creating an account is an application. It is not automatic — we review each one and may approve or decline it at our discretion.
• Your account is Pending until we approve it. A pending partner can sign in and look around, but cannot register Claims and does not earn commission.
• The details you give us — your name, company, role and address — must be accurate and kept up to date. Payouts and tax paperwork depend on them.
• Your account is personal to you. Do not share your login, and do not create more than one partner account for the same person or business.

4.Registering a prospect (deal registration)

• Register a Prospect before you approach them. That is the point of a Claim: it records that you found them first.
• Every Claim carries a contact email or phone number. That is what we match on when the Prospect signs up, so give the one they are likely to register with. A Claim with neither cannot be matched and will not be accepted.
• We review each Claim and may approve or reject it. We will reject a Claim over a Prospect who is already our customer, is already in an active sales conversation with us, or is already claimed by another partner.
• An approved Claim holds that Prospect for you for 90 days, counted from the day we approve it — not from the day you registered it. If the Prospect has not signed up by then, the Claim lapses and anyone may claim them.
• You may hold up to 25 approved Claims open at a time. The limit exists so the register reflects real conversations rather than a list of every clinic in a city.
• You may withdraw a Claim at any time before it converts.

5.How an organisation gets attributed to you

• If the Organisation matches one of your approved, unlapsed Claims, it is attributed to you.
• If there is no Claim but they signed up through your personal partner link, it is attributed to you.
• If two partners have a live Claim on the same Prospect, the earlier approved Claim wins.
• An Organisation is attributed to one partner, once. Attribution does not transfer if the clinic later changes hands, rebrands or moves.
• We may attribute an Organisation to you manually where you clearly brought it in but no link or Claim was used — for instance a deal our team closed with you. We may also correct an attribution that was recorded in error.

6.What you earn

• You earn 20% of the Subscription Amount for each month an Organisation attributed to you pays for, unless we have agreed a different rate with you in writing and recorded it on your account.
• Commission is calculated on the subscription before tax and after any credit the clinic used. It is not calculated on the invoice total. Tax is not our revenue, and a credit is money that never reached us.
• Commission accrues only when an invoice is actually paid. An unpaid, cancelled, waived or written-off month earns nothing.
• The earning period is 24 months, counted from the first month that Organisation ever paid for. Months in which they pay nothing earn nothing but do not extend the period.
• Commission is earned on the ClinicDesq subscription only. It does not extend to one-off charges, hardware, lab or imaging pass-through costs, third-party integrations, implementation or training fees.
• If we refund a payment, the commission accrued on it is reversed and set off against your next statement.
• Every figure is frozen at the moment it is calculated. If we later change a clinic's pricing, or change your rate, that applies to future months only — it never rewrites a month already earned.

7.Statements and payment

• Your portal shows every month of commission as it accrues, with the clinic, the base amount, the rate and the figure. That statement is the record of what you have earned.
• Commission shows as accrued until we pay it, and then as settled with the payment reference against it.
• Payouts are made outside the platform, to the details you give us. We may set a minimum payout amount and hold smaller balances until the next payout, and we may require a valid invoice or tax declaration from you before paying.
• You are responsible for your own taxes on what you earn. Where Indian law requires it, we will deduct tax at source and give you the certificate.
• If you think a statement is wrong, tell us within 60 days of the month appearing on it. After that the statement stands.

8.How you may represent ClinicDesq

• You have no authority to bind us. You cannot agree a price, a discount, a contract term, a delivery date or a feature commitment on our behalf.
• Describe the product accurately. Do not promise functionality that does not exist, and do not state or imply regulatory, clinical or data-protection approvals we have not claimed ourselves.
• Do not present yourself as an employee, office or exclusive representative of ClinicDesq.
• You may use our name and logo to identify the product you are introducing. You may not register domains, social accounts, app listings or business names containing “ClinicDesq”, and you may not bid on our brand terms in paid search.
• No spam. Your outreach must comply with applicable law on unsolicited calls, messages and email, and you must honour a request to stop.

9.Prospect data

• When you register a Prospect you are giving us another person's contact details. Only register someone you have a genuine business reason to contact, and only share details you are entitled to share.
• We use those details to match the Claim, to contact the Prospect about ClinicDesq, and for our own records. We handle them under our privacy policy.
• Do not scrape, buy or bulk-upload contact lists into the portal.

10.Confidentiality

Pricing we quote you, customer information you see in the portal, and anything we tell you that is not public is confidential. Do not pass it on or use it for anything other than your work as a partner. This survives the end of this agreement.

11.No exclusivity

This is not an exclusive arrangement in either direction. You may work with other software vendors, including our competitors. We may appoint other partners, sell directly in your area, and run our own marketing to clinics you have spoken to. We set no targets and make no guarantee of any volume, revenue or number of introductions.

12.Suspension and ending this agreement

• You may close your partner account at any time by telling us.
• We may end this agreement on 30 days' notice, and may suspend your account immediately if we reasonably believe you have breached these terms, misrepresented the product, misused customer data, or acted in a way that damages our reputation.
• If we end the agreement without cause, commission already accrued is still paid, and Organisations already attributed to you keep earning for the remainder of their 24 months.
• If we end it for breach, or if you close your account, we may stop future accruals from that date. Commission already accrued up to that date is still paid, less anything you owe us.
• Clauses 9, 10 and 13 survive the end of this agreement.

13.Liability

Neither side is liable to the other for indirect or consequential loss, or for loss of profit, revenue or opportunity. Our total liability to you under this agreement is limited to the commission payable to you in the twelve months before the claim arose. Nothing here limits liability that cannot be limited by law, including for fraud.

14.Changes to these terms

We may update these terms. Each version carries a version number, and the version you accepted is recorded against your account. We will tell you before a material change takes effect, and continuing to use the partner portal after that date means you accept the new version. A change to these terms does not reduce commission already accrued.

15.Governing law

These terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising from them.
